Terms of Service

Please read these Terms carefully. They include an arbitration agreement, a class-action waiver, disclaimers of warranties, and limitations of liability that affect your legal rights.
1. Acceptance of Terms
By accessing, downloading, installing, or using any products, services, websites, applications, demos, or content operated by Deep Simplicity LLC ("Deep Simplicity," "we," "our," "us") (collectively, the "Services"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy at https://www.deepsimplicity.ai/privacy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that your use complies with all laws that apply to you.
3. Scope and Acceptable Use
- Use the Services only for lawful, informational, research, and productivity purposes
- Do not infringe intellectual property or proprietary rights
- Do not attempt to interfere with the security, availability, or integrity of the Services
- Do not rely on the Services as a sole basis for any legal, financial, medical, or other consequential decision
- Do not use the Services to provide investment advice, brokerage, or fiduciary services to others unless you are independently licensed and compliant with applicable law
We may suspend or terminate access for any violation of these Terms, with or without notice.
4. Not Investment, Legal, Tax, Medical, or Other Professional Advice
Deep Simplicity is a software company. We are not a registered investment adviser, broker-dealer, financial planner, insurance provider, law firm, accounting firm, tax adviser, medical provider, or regulatory or compliance certification body. Nothing in the Services constitutes a recommendation to buy, sell, or hold any security or to adopt any investment, legal, tax, medical, or business strategy, and nothing in the Services constitutes legal, investment, tax, accounting, medical, or regulatory advice.
We make no representation or warranty of accuracy, completeness, or fitness, and we do not guarantee any result, return, outcome, savings, or level of performance. Any educational content, quotes, summaries, or study tools are provided for general learning and productivity only. You are solely responsible for your own decisions and for consulting qualified, licensed professionals when appropriate.
5. No Professional Relationship
Your use of the Services does not create any attorney-client, adviser-client, fiduciary, doctor-patient, or other professional relationship between you and Deep Simplicity. Communications through the Services (including the contact form and email) are not confidential or privileged and do not create any such relationship.
6. Website Demonstrations and Illustrative Content
Any interactive demos, simulations, previews, sample documents, screenshots, mockups, or example outputs shown on our website are illustrative only. Where a demonstration is described as a simulation, it does not call an AI model, does not process any document you provide, and uses fixed, pre-written sample content. Demonstration content is not advice, is not actual product output, and should not be relied upon for any decision.
7. Forward-Looking Statements and Planned Features
The Services and our website may describe features, products, plans, or pricing that are planned, in development, in preview, or "coming soon." Such descriptions are not commitments. Features and pricing may change, be delayed, or be discontinued at any time without notice, and you should not rely on them or make any purchase decision based on them.
8. Intellectual Property
All content, software, algorithms, databases, source code, models, trademarks, service marks, trade names, logos, and other proprietary materials are owned by Deep Simplicity or its licensors. Except as expressly permitted in writing, you may not copy, modify, create derivative works, reverse engineer, decompile, or disassemble any part of the Services, nor use automated means (robots, spiders, crawlers) to access them.
9. AI and Language Model Disclaimer
The Services may use artificial intelligence, including large language models (LLMs) such as Gemma or other models, to generate text, summaries, or suggestions. AI outputs are probabilistic. They may be wrong, incomplete, biased, outdated, or unsuitable for your situation, and may "hallucinate" content that appears credible but is inaccurate.
AI content is not a substitute for professional advice and must not be used for high-stakes decisions without independent human verification. You are solely responsible for checking the accuracy, legality, and suitability of any output before you rely on it.
10. Disclaimer of Warranties ("AS IS")
To the maximum extent permitted by law, the Services, including all software, websites, demos, and content, are provided "AS IS" and "AS AVAILABLE," with all faults and without warranties of any kind, whether express, implied, or statutory. Deep Simplicity expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any result or content will be accurate or reliable. No advice or information, whether oral or written, obtained from the Services creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
11. Assumption of Risk and User Responsibility
You acknowledge that you use the Services at your own risk and that you are solely responsible for your decisions and for any outcome resulting from your use of, or reliance on, the Services or any output. You are responsible for maintaining your own backups of any data you value.
12. On-Device and Cloud Processing
Some products (including Deep Simplicity Core) are designed to process data on your device by default. Other offerings, including certain business solutions, may process data in cloud or hybrid environments under separate written terms. Where cloud processing applies, our Privacy Policy and any applicable data processing agreement describe what is collected, how long it is kept, and who may access it.
13. Third-Party Models, Services, and Platforms
The Services may incorporate or interoperate with third-party models, libraries, app stores, analytics, advertising networks, or cloud providers. Your use of those components may be subject to additional third-party terms. We do not control and are not responsible for third-party services except as required by law.
14. App Store Purchases and Subscriptions
If you purchase a subscription or in-app item through Apple or another platform, billing, renewal, cancellation, and refunds are handled by that platform under its policies. Price and features may change with notice where required by law or platform rules.
15. Business and Professional Services
Custom development, pilots, licensing, private deployments, or other business engagements are governed by a separate written statement of work, order form, or master services agreement when we provide one. If there is a conflict between these Terms and a signed business agreement, the signed agreement controls for that engagement.
16. Limitation of Liability
To the maximum extent permitted by law, Deep Simplicity LLC and its officers, employees, agents, contractors, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, trading or investment losses, loss of goodwill, or business interruption, arising from or related to your use of the Services or reliance on any content or AI-generated output, even if advised of the possibility of such damages. In no event shall our total cumulative liability exceed the greater of the fees you paid us for the Services in the prior 12 months or USD $100, except where such limitation is prohibited by law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification
You agree to indemnify, defend, and hold harmless Deep Simplicity LLC and its affiliates, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of these Terms, violation of law, or infringement of any third-party right.
18. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in Illinois. Each party bears its own costs unless the arbitrator orders otherwise. You waive any right to a jury trial or to participate in a class action, class arbitration, or representative action.
You may opt out of arbitration by emailing contact@deepsimplicity.ai within 30 days of first accepting these Terms. If you opt out, disputes shall be resolved in the state or federal courts of Illinois as set forth in Section 21.
19. Force Majeure
We are not liable for any failure or delay due to events beyond our reasonable control, including natural disasters, outages, cyberattacks, labor disputes, or governmental actions.
20. Termination
We may terminate or suspend your access at our discretion, with or without notice, including for violation of these Terms. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination (including Sections 4–11 and 16–22) will survive.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles. For disputes not subject to arbitration, you consent to exclusive jurisdiction in state or federal courts located in Illinois.
22. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, where required by law, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
23. Severability and Entire Agreement
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy and any signed business agreement, constitute the entire agreement between you and Deep Simplicity regarding the Services.
